Do freelancers need a written contract?

Yes. While verbal agreements can be legally binding in the UK, a written contract protects both parties by clearly documenting scope, payment terms, IP ownership, and liability. Without one, disputes become expensive and difficult to resolve. Even for small projects, a simple contract saves headaches.

What should a freelance contract include?

A comprehensive freelance contract should cover: parties involved, scope of work and deliverables, timeline, payment terms (amount, schedule, late payment interest), intellectual property ownership, confidentiality, revision limits, cancellation/kill fee, liability limitation, termination notice, and governing law. Is this contract legally binding?

A contract becomes legally binding when both parties agree to its terms. For enforceability, it needs: an offer, acceptance, consideration (payment for services), intention to create legal relations, and capacity. Email acceptance and digital signatures are valid in the UK. However, we always recommend having a solicitor review your contracts.

How does IR35 affect my freelance contract?

IR35 determines whether HMRC treats you as employed or self-employed for tax purposes. Key contract clauses that support outside-IR35 status include: right of substitution (you can send someone else), no mutuality of obligation (no obligation to offer/accept future work), and control over how you deliver the work. Should I include a kill fee?

Yes. A kill fee (cancellation fee) protects you if a client cancels mid-project. Without one, you could invest weeks of work and receive nothing. A typical kill fee is 25–50% of the total project value, which compensates for blocked time and opportunity cost. It's standard practice across creative and professional services.

What about IP — should I transfer or licence?

Most clients expect full IP transfer upon final payment. However, some freelancers prefer licensing (you retain ownership, client gets usage rights). A good middle ground is "transfer with portfolio rights" — the client owns the work, but you can showcase it in your portfolio. Whatever you choose, make it explicit in the contract.
